Terms & Conditions

Effective date: September 2026

These Terms of Service (“Terms”, or this, “Agreement”) govern your access to and use of the Primarie Pilates LLC website, online booking system, and related services (collectively, the “Services”), and your relationship with Primarie Pilates LLC (“Primarie,” “we,” “our,” or “us”).

By clicking to accept these Terms, signing these Terms or any document that incorporates these Terms by reference, registering for, accessing, attending, or using the Services, whether as a member, class package holder, guest, or otherwise, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all additional studio policies, rules, and guidelines published on our website and updated from time to time (collectively, the “Studio Policies”). To access our website visit www.primariepilates.com.

1. Eligibility

The Services are intended for individuals eighteen (18) years of age or older. By registering for, accessing, or using the Services, you represent that you are at least eighteen (18).

2. Account Registration

Booking classes or purchasing memberships may require creating an account through our online scheduling platform, Mariana Tek (our “Scheduling Platform”). You agree to provide accurate information, keep it up to date, and keep your login credentials confidential. You are responsible for all activity under your account.

3. Memberships, Class Packages, and Payment

3.1 Nature of Services. Primarie offers in-person Pilates, strength, sculpt, and stretching classes, including group, private and semi-private sessions, as well as related retail merchandise, at our studio located at 200 South Main Street, Providence, Rhode Island 02903. Purchasing a membership or class package grants you the right to attend classes and sessions in accordance with the terms of your specific membership or package and our Studio Policies. Your membership or class package with Primarie is subject to the applicable Membership Agreement or Class Pack Purchase Agreement, which is incorporated herein by reference.

3.2 Membership

3.2.1 Fees and Recurring Billing. Membership fees are billed automatically on a recurring monthly basis to your payment method on file, beginning on the date of enrollment and continuing on the same date each subsequent month (the “Billing Cycle”). You understand that the membership is renewed automatically each month unless you cancel before the start of your next Billing Cycle (see Section 3.2.5 and Section 4 for how to cancel), provided, however, that no automatic renewal may run longer than twenty-four (24) months. Primarie will provide at least thirty (30) days’ advance notice of any price increase via email to the address on file. You may update your payment method at any time via the client portal or by contacting Primarie. If you cancel, charges already processed for the then-current Billing Cycle are non-refundable except as required by applicable law.

3.2.2 Minimum Commitment. Each membership requires a minimum commitment of three (3) months from the date of enrollment (the “Minimum Commitment Period”). You may not cancel during the Minimum Commitment Period except as provided in Section 4. For the avoidance of doubt, the statutory cancellation rights described in Section 4 apply during the Minimum Commitment Period and supersede any contrary term in this Agreement. There shall be no fee payable by clients who wish to reduce a membership to a lower tier (if applicable).

3.2.3.  Grace Cancellation Benefit. If your plan includes a grace cancellation benefit, you receive one grace cancellation per Billing Cycle, which allows you to cancel a class reservation within the ten (10)-hour cancellation window without forfeiting the associated class credit. This benefit does not roll over if unused in a given Billing Cycle and is distinct from cancellation of the membership itself.

3.2.4. Failed Payments. If a scheduled payment fails, Primarie will attempt to notify you. If the payment issue is not resolved within forty-eight (48) hours of the failed payment, your account and access to classes will be frozen until the outstanding payment is successfully processed.

3.2.5. Cancellation of Membership. Subject to the provisions of Section 4, once the Minimum Commitment Period has been satisfied, you may cancel this Agreement at any time, either through Primarie’s phone application or by emailing Primarie, provided such notice is given before the start of your next Billing Cycle. Cancellation will take effect at the end of the then-current Billing Cycle; you will retain access through that date, and no further charges will be billed thereafter.

3.2.6. Refunds. Membership fees are non-refundable, except as required by applicable law. Primarie will prorate the same if required by applicable law

3.2.7. Membership Non-Transferable; Guest Passes. The membership is personal to you and may not be transferred, sold, or assigned to another individual. Guest passes, where included with your plan, may be used by a guest of your choosing (a “Guest”), subject to class availability and Primarie’s booking policies. Before participating in any class, a Guest must complete Primarie’s Release of Liability and Assumption of Risk and agree to Primarie’s Terms. You are responsible for ensuring that any Guest timely completes all required documentation before class. Failure to do so may result in denial of entry and forfeiture of the associated class credit.

3.3 Class Package

3.3.1. Fees. Payment in full is due at the time of purchase.

3.3.2. Expiration and Extensions. Unused class credits expire as set forth in your Class Pack Purchase Agreement. Primarie may, in its sole and absolute discretion, grant an extension of the expiration date upon your written request (by email to Primarie). Primarie is under no obligation to grant such a request.

3.3.3. Refunds. All class pack purchases are final. Primarie does not offer refunds for unused credits, except as required by applicable law. Primarie will prorate the same if required by applicable law.

3.3.4. Use by Others. Class credits purchased under this Agreement may be used by you to book a class for a Guest on your behalf.

4. RHODE ISLAND HEALTH CLUB ACT DISCLOSURES AND CANCELLATION RIGHTS

This Section 4 is intended to comply with the Rhode Island Health Club Act. If any provision of this Agreement conflicts with the rights or protections afforded to you under the Rhode Island Health Club Act, the provisions of the Rhode Island Health Club Act shall control to the extent of such conflict.

2. CANCELLATION AFTER TEN (10) BUSINESS DAYS

AFTER THE EXPIRATION OF THE TEN (10) BUSINESS DAY CANCELLATION PERIOD AS PROVIDED IN SECTION 4.1 ABOVE, YOU WILL BE RELIEVED OF YOUR OBLIGATIONS UNDER THE AGREEMENT AND ENTITLED TO A REFUND OF ANY PREPAID FEES UNDER THE AGREEMENT IF:

  • You relocate more than fifteen (15) miles from a comparable studio operated by Primarie;

3. CANCELLATION DUE TO DISABILITY

IF YOU BECOME SIGNIFICANTLY PHYSICALLY OR MEDICALLY DISABLED FOR A PERIOD IN EXCESS OF THREE (3) MONTHS DURING THE AGREEMENT TERM, YOU HAVE THE OPTION:

  1. To be relieved of liability for payment on that portion of the Agreement term for which you are disabled and receive a full refund of any prepaid fees on the Agreement; or
  2. To extend the duration of the Agreement at no additional cost for a period equal to the duration of the disability.

Primarie may require that a doctor’s certificate be submitted as verification of the disability.

4. DEATH OF CLIENT

In the event of your death, your estate shall be relieved of any further obligation for payment under the Agreement and shall be entitled to a refund for any prepaid fees for the unused portion of the Agreement. Primarie may require verification of death.

5. SALE OF PRIMARIE

In the event of a sale of Primarie, the Agreement is voidable at your option.

6. REFUNDS PURSUANT TO RHODE ISLAND HEALTH CLUB ACT

Upon cancellation of the Agreement pursuant to Section 4, you shall be free of any and all obligations under the Agreement, and any prepaid monies pursuant to this Agreement shall be refunded within fifteen (15) days of receipt of the notice of cancellation.

5. Reservations, Waitlists, and Schedule Changes

5.1 Reservations. Class reservations must be made through our Scheduling Platform. We recommend booking in advance, as classes have limited capacity and fill quickly.

5.2. Waitlists. If you join a waitlist for a full class, you agree to attend if a spot becomes available. You may be automatically moved from the waitlist into the class up to a set period before the class start time, and you will receive notice if you are moved into the class. If you can no longer attend, please remove yourself from the waitlist promptly to avoid a late cancellation or no-show fee.

5.3. Cancellations and No-Shows. Cancellation windows and applicable fees are set out in the applicable Membership Agreement or Class Pack Purchase Agreement. Arriving after class has started may result in your spot being released to a waitlisted client.

5.4. Schedule Changes. Primarie reserves the right to modify, substitute, or cancel classes, instructors, or schedules at any time, including on short notice due to instructor illness, emergencies, or unforeseen circumstances. We will make reasonable efforts to notify affected clients as soon as possible. No refunds or credits will be issued solely due to an instructor substitution or schedule change.
